1. Wholesale business buyers only
Products and offers are intended for verified retailers, resellers, wholesalers, exporters, corporate purchasers and other approved business buyers. We do not accept individual consumer purchases through this wholesale website. By applying or ordering, the buyer confirms that it is acting for business purposes and that the person placing the order has authority to bind the buyer.
2. Applications and approval
Submission of an application does not guarantee approval, access to pricing or allocation of inventory. We may request business-registration, resale, tax-exemption, identity or payment-verification documents and may approve, decline, suspend or limit an account where reasonably necessary.
3. Quotations and order acceptance
Inventory, pricing and availability may change until an order is accepted in writing and payment requirements are satisfied. An accepted quotation, pro forma invoice, sales invoice or other written confirmation, together with the disclosed lot details and these terms, forms the agreement. If a lot-specific written term conflicts with these general terms, the lot-specific written term controls for that order.
4. Product condition and grading
New, open-box, ready-to-sell used, graded and repair inventory may be offered. Grades primarily describe cosmetic condition. Testing scope, quantities, model or storage mix, network status, battery commitments and known exceptions are stated with the lot. Mixed-grade percentages are reasonable estimates and may vary unless expressly guaranteed in writing. Buyers should review our Grading Guide before ordering.
5. Pricing, currency and taxes
Prices are stated in the currency shown and exclude applicable sales taxes, shipping, insurance, duties, brokerage, import charges and other fees unless the written quotation expressly says otherwise. Valid exemption documentation must be accepted before invoicing for an exemption.
6. Payment
Payment is due by the deadline and method stated on the invoice. Inventory is not reserved unless confirmed in writing. Cleared funds may be required before release. The buyer is responsible for bank, transfer, conversion, chargeback and collection costs attributable to its payment method, to the extent permitted by law.
7. Shipping, pickup and risk
The buyer arranges and pays for shipping unless expressly agreed otherwise. The buyer is responsible for selecting its carrier, service level and insurance. Risk of loss or damage transfers to the buyer when the order is released to the buyer, its representative or its nominated carrier. The buyer is responsible for customs, export or import compliance, duties and destination-country requirements. We will provide reasonable shipment documentation available for the order.
8. Inspection and discrepancies
The buyer should inspect the shipment promptly and preserve packaging and serial-number records. Visible shipping damage, quantity shortages or incorrect models should be reported in writing within two business days after delivery. Functional warranty claims must be submitted within the applicable warranty period. A notice should include the invoice, device identifiers, issue description and reasonable supporting evidence.
9. Cancellations and returns
Confirmed wholesale orders cannot be cancelled or returned for convenience without our written approval. No return may be shipped without return authorization and instructions. Unauthorized or incomplete returns may be refused. Any accepted return must match the serial numbers and condition originally supplied, subject only to the authorized issue.
10. Warranty
Only the written warranty identified for the applicable grade or lot applies. Grades A and B ordinarily include 30-day functional coverage. Grade C, Direct, Grade D, Grade E, parts, repair and other inventory identified as “as-is” have no functional warranty. 11. Network and account status
Devices are represented as iCloud/account-free and MDM-free, and unlocked unless a lot is identified as carrier-specific. Lifetime blacklist protection applies to the original wholesale purchaser, subject to verification of the device identifier, original invoice and circumstances. It does not cover a blacklist or restriction caused after sale by the buyer, end customer, carrier account activity, financing, fraud, misuse, alteration or destination-network incompatibility.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable to the other for indirect, incidental, special or consequential loss, including lost profit, lost sales or business interruption. Our aggregate liability arising from an affected order will not exceed the amount paid to us for the specific goods giving rise to the claim. Nothing in these terms excludes liability that cannot lawfully be excluded.
13. Governing law
These terms and each order are governed by the laws of Ontario and the federal laws of Canada applicable there. The parties submit to the courts located in Ontario, unless they agree in writing to another dispute-resolution process.
